Oslo, Norway, 10 September 2026: Reference is made to the stock exchange
announcements by Thor Medical ASA (the "Company") on 3 September 2026 regarding
the successful completion of a private placement of new shares to be issued by
the Company (the "Private Placement") and a retail offering through Nordnet (the
"Retail Offering").
Reference is also made to the share lending agreement entered into by and
between the Company, its shareholder Scatec Innovation AS as share lender and
Arctic Securities AS and ABG Sundal Collier ASA as managers (the "Managers"), to
facilitate delivery-versus-payment settlement in the Private Placement and the
Retail Offering (the "Share Lending Agreement").
Today, following registration of the share capital increases pertaining to the
Private Placement and the Retail Offering, the Managers will redeliver
57,291,667 new shares in the Company to Scatec Innovation AS pursuant to the
Share Lending Agreement.
Following the effectuation of the redelivery of 57,291,667 new shares in the
Company and the delivery of 5,208,333 new shares allocated to Scatec Innovation
AS in the Private Placement, Scatec Innovation AS' holding of shares in the
Company will be 87,326,613, equivalent to approx. 20.67% of the issued share
capital and votes. Consequently, Scatec Innovation AS will cross above the 10%,
15% and 20% thresholds pursuant to section 4-2 (1) and (3) of the Norwegian
Securities Trading Act.
This announcement is published in accordance with section 4-2 of the Norwegian
Securities Trading Act.
