Please find the audited 2024 Annual Report for Pryme N.V. (the "Company")
attached, integrated with the 2024 Governance and Sustainability Reports, as
approved by the Supervisory Board of Directors of the Company on May 6, 2025. 

The consolidated financial statements and the parent company's financial
statements have been prepared on the assumption of going concern. This
assumption is based on the Company's operational and financial plan and
projections including the completed private placements in December 2024 and
April 2025 (subsequent event). The likely need for required additional funding
in the event that the operational and financial plan for 2025 and 2026 is not
fully met leads to material uncertainties that may cast doubt on Pryme N.V.'s
ability to continue as a going concern and therefore the report of the Company's
auditor on the consolidated financial statements and the parent company's
financial statements includes a specification on material uncertainty on
continued operations (financial situation). Reference is made to the report from
the Company's auditor on page 107 of Pryme's 2024 Annual Report.
