Reference is made to the announcement made on 30 May 2022, regarding the
voluntary cash offer by EG Norge AS ("EG" or the "Offeror") to acquire all
outstanding shares of Ørn Software Holding AS ("Ørn Software" or the "Company")
at a price of NOK 6.25 per share (the "Offer"), as well as the announcement
regarding the final results of the Offer made on 7 July 2022.

Ørn is pleased to announce that on 12 July 2022, the Finnish Ministry of
Employment and the Economy cleared the transaction without any qualifications or
remedies, consequently fulfilling the condition for closing of the Offer
relating to Finnish Ministry of Employment and the Economy (cf. item 3.6 c. b.
in the Offer Document). 

Closing of the Offer is expected to take place during July 2022. 

As mentioned in a previous press release, EG intends to make a compulsory
acquisition of the remaining shares in the Company pursuant to Section 4-26 of
the Norwegian Private Limited Liability Companies Act. The price per share in
the compulsory acquisition is expected to be the same as in the Offer.
