On the basis of the approval by the Annual General Meeting on 6 May 2021 to
authorize the Board of NRC Group ASA (the "Company") to issue new shares to
employees under the long-term incentive program, the Board has resolved to grant
share options to the senior executives of the Company.

Each share option, when exercised, will give the right to acquire one share
inthe Company. The share options are granted without consideration.

Pursuant to the vesting schedule, the share options can be vested over a period
of three years, with 1/3 of the aggregate number each year. All options expire
after 36 months.

Primary insiders in the Company have received the following options grants,
according to the terms described above:

Henning Olsen, CEO, has been granted 30,000 share options. The share options
have a strike price of NOK 20.04. Following the grant, Henning Olsen holds
165,000 share options and 114,306 shares in NRC Group ASA.

Ole Anton Gulsvik, CFO, has been granted 15,000 share options. The share options
have a strike price of NOK 20.04. Following the grant, Ole Anton Gulsvik holds
90,000 share options, 4,281 shares and through his wholly-owned company
Jodfabrikken AS, 133,996 shares in NRC Group ASA.

Arild Ingar Moe, EVP and MD NRC Norway, has been granted 39,000 share options.
The share options have a strike price of NOK 20.04. Following the grant, Arild
Ingar Moe holds 96,000 share options and 232,033 shares in NRC Group ASA.

Harri Lukkarinen, EVP and MD NRC Finland, has been granted 42,000 share options.
The share options have a strike price of NOK 20.04. Following the grant, Harri
Lukkarinen holds 157,500 share options and 16,962 shares in NRC Group ASA.

Lene Engebretsen, EVP and Head of Communications, has been granted 10,000 share
options. The share options have a strike price of NOK 20.04. Following the
grant, Lene Engebretsen holds 51,000 share options and 9,259 shares in NRC Group
ASA.

Marianne Kellmer, EVP and Head of HR, has been granted 4,000 share options. The
share options have a strike price of NOK 20.04. Following the grant, Marianne
Kellmer holds 4,000 share options and 4,281 shares in NRC Group ASA.

Jussi Mattsson, EVP and Head of Strategy and business development, has been
granted 10,000 share options. The share options have a strike price of NOK
20.04. Following the grant Jussi Mattsson holds 45,000 share options and 5,252
shares in NRC Group ASA.
