Reference is made to the mandatory offer by Hemen Holding Limited ("Hemen") to
acquire all outstanding shares in Northern Drilling Ltd (the "Company") launched
on 2 March 2022 at an offer price per share of NOK 17.00 (the "Mandatory
Offer"). 
 
The offer period for the Mandatory Offer expired on 30 March 2022 at 16:30 CEST.
Upon expiry of the offer period in the Mandatory Offer, a preliminary count
shows that Hemen had received valid acceptances for in total 84,298 shares,
corresponding to approximately 0.52% of the registered share capital and voting
rights. Thus, following completion of the Mandatory Offer and subject to due
settlement of the shares for which acceptances are received, Hemen will own
6,555,152 shares in the Company, representing approximately 40.63% of the
registered share capital and voting rights in the Company. The number of
acceptances for which shares are received in the Mandatory Offer may change
based on final counting. In accordance with the terms of the Mandatory Offer,
settlement of the Mandatory Offer will be made in NOK as soon as reasonably
possible and no later than 14 calendar days after expiry of the offer period
(i.e. 13 April 2022). DNB Markets, a part of DNB Bank ASA, is acting as
financial adviser for Hemen and receiving agent related to the Mandatory Offer.
