On August 13, 2025, employees in Nordic Semiconductor ASA and subsidiaries of
Nordic Semiconductor ASA have exercised 1,325,582 restricted share units
("RSUs") and Performance Shares ("PSUs") in Nordic Semiconductor ASA.
 
All employee plan 

The vested RSUs and PSUs were granted to all employees on May 6, 2022, July 12,
2023, and March 20, 2024, as part of the long-term incentive program approved by
the Annual general meeting held on April 28, 2022 and April 20, 2023. The Board
of Directors has authorized the use of treasury shares to settle the vested
shares. 

Executive Management Plan 

The vested RSUs were granted to the executive management team May 6, 2022, as
part of the long-term incentive program approved by the Annual general meeting
held on April 28, 2022. The executive management team was also granted
Performance Shares. However, as the executives achieved less than 80% of the set
performance targets, no performance shares vested. The Board of Directors has
authorized the use of treasury shares to settle the vested shares. 

On August 13, 2025, the primary insiders mentioned below ordered for a portion
of the received shares to be immediately sold by a third party in order to cover
the tax liability.
 
SVP BU Wi-Fi, Joakim Ferm, has transferred the rights for 1,024 shares. 

EVP Sales and Marketing, Geir Langeland, has transferred the rights for 1,690
shares. 

EVP Supply Chain, Ole Fredrik Morken, has transferred the rights for 1,215
shares. 

SVP Quality, Ola Boström, has transferred the rights for 250 shares. 

SVP People & Culture, Sonja Kusmin, has transferred the rights for 2,202 shares.

SVP Investor Relations, Ståle Ytterdal, has transferred the rights for 1,044
shares. 

Employee elected board member, Anja Dekens, has transferred the rights for 861
shares.

Employee elected board member, Jon Helge Nistad, has transferred the rights for
561 shares.

Employee elected board member, Monika Lie Larsen, has transferred the rights for
613 shares.

On August 13, 2025, employees excluding primary insiders mentioned above,
ordered for 698,908 shares to be immediately sold by a third party. In total
1,325,582 treasury shares will be used, of which 708,368 shares will be sold and
617,214 shares will be transferred to employees. The sales amount will be
finally determined on the basis of the price subsequently obtained by the third
party in the market and will be announced in a separate stock exchange notice
when known. All expenses related to the vested RSUs and PSUs have already been
recognized in this and previous quarters, and the settlement has no net impact
on the operating expenses of the company in the future quarters. 

Subsequent to the transaction, Nordic Semiconductor holds 345,791 treasury
shares in addition to 69,520 shares set aside for shareholders of Mobile
Semiconductor Inc and 1,003,634 shares held for the founders of Memfault Inc.
There will be no share capital increase to cover the exercise of RSUs and PSUs.
 
An overview of RSUs and PSUs exercised by primary insiders is described below: 

Chief Financial Officer, Pål Elstad, has exercised 3,193 RSUs. Following this
transaction, he holds 54,138 shares, 14,760 RSUs and 17,464 performance shares
in the Company. 

SVP BU Wi-Fi, Joakim Ferm, has exercised 2,047 RSUs. Following this transaction,
he holds 2,824 shares, 7,673 RSUs and 8,436 performance shares in the Company. 

EVP Sales and Marketing, Geir Langeland, has exercised 3,379 RSUs. Following
this transaction, he holds 224,411 shares, 15,620 RSUs and 18,482 performance
shares in the Company. 

EVP Supply Chain, Ole Fredrik Morken, has exercised 2,429 RSUs. Following this
transaction, he holds 207,721 shares, 13,252 RSUs and 15,845 performance shares
in the Company. 

SVP Quality, Ola Boström, has exercised 500 RSUs. Following this transaction, he
holds 6,177 shares, 9,619 RSUs and 11,382 performance shares in the Company. 

EVP Corporate Strategy and BU PMIC, Kjetil Holstad, has exercised 2,380 RSUs.
Following this transaction, he holds 19,859 shares, 14,145 RSUs and 16,738
performance shares in the Company. 

SVP People & Culture, Sonja Kusmin, has exercised 4,403 RSUs and PSUs. Following
this transaction, she holds 2,801 shares, 5,275 RSUs and 6,109 performance
shares in the Company. 

SVP Investor Relations, Ståle Ytterdal, has exercised 2,087 RSUs. Following this
transaction, he holds 143,708 shares, 8,766 RSUs and 10,092 performance shares
in the Company. 

Employee elected board member, Anja Dekens, has exercised 1,721 RSUs and PSUs. 

Employee elected board member, Jon Helge Nistad, has exercised 1,122 RSUs and
PSUs.

Employee elected board member, Monika Lie Larsen, has exercised 1,225 RSUs and
PSUs.
