NOD: Grant of Restricted Stock Units and Performance Shares 

On May 5, 2025, The Annual General Meeting of Nordic Semiconductor ASA approved
the issue of Restricted Stock Units (RSUs) and Performance Shares of an
aggregate nominal value of up to 1% of the company's outstanding share capital. 

In total in this release, 1,111,262 RSUs and Performance Shares have been
granted, equivalent to 0.58% of the company's outstanding share capital. 

As basis for the calculation of RSUs and Performance Shares, a volume weighted
average share price the five trading days after the Annual General Meeting of
NOK 115.73 has been used. 

All Employee Plan 

Today, on May 13, 2025, the company has granted 965,691 RSUs to employees under
the all-employee program. For employees, the RSUs will vest after two or three
years and the shares will be delivered to the employee after the vesting date
against payment of the par value of the share (subject to the employee's
continued employment with the Company). The shares may be newly issued shares or
existing treasury shares.

Executive Management Plan

With reference to the Annual general meeting held on May 5, 2025, members of the
Executive Management team have today been granted a total of 58,227 RSUs and
87,344 performance shares in the company. The RSUs will vest after three years
and the shares will be delivered to the employee after the vesting date against
payment of the par value of the share (subject to the employee's continued
employment with the Company). The shares may be newly issued shares or existing
treasury shares. 

The performance shares are issued conditional upon the achievement of a certain
set of objectives. The performance shares vest and will be delivered at par
value upon the completion of the performance period, which is three years. If
the executive achieves at least 80% of the set performance targets, 50% of the
shares will be granted, whilst on 120% achievement of targets a maximum two
times the shares will be granted. As such, if maximum performance is achieved on
the performance shares, a total of 174,688 shares will be delivered to the
executive management team. 
Details below are based on 100% performance achievement. For further details on
the program, please refer to the Guidelines for Executive Compensation that were
approved by the Annual General Meeting. 

Vegard Wollan, CEO, received 11,751 RSUs and 17,627 performance shares.
Following the grant, Vegard has 151,000 shares, 33,484 RSUs and 39,360
performance shares in the company. 

Pål Elstad, CFO, received 5,410 RSUs and 8,114 performance shares. Following the
grant, Pål has 50,945 shares, 17,953 RSUs and 17,464 performance shares in the
company. 

Joakim Ferm, SVP BU Wi-Fi, received 3,525 RSUs and 5,288 performance shares.
Following the grant, Joakim has 1,801 shares, 9,720 RSUs and 8,436 performance
shares in the company. 

Øyvind Strøm, EVP BU Short-Range, received 5,599 RSUs and 8,399 performance
shares. Following the grant, Øyvind has 6,000 shares, 10,599 RSUs and 13,399
performance shares in the company. 

Øyvind Birkenes, EVP BU Long-Range, received 5,599 RSUs and 8,399 performance
shares. Following the grant, Øyvind has 9,540 shares, 10,599 RSUs and 13,399
performance shares in the company. 

Geir Langeland, EVP Sales and Marketing, received 5,725 RSUs and 8,587
performance shares. Following the grant, Geir has 222,722 shares, 18,999 RSUs
and 18,482 performance shares in the company. 

Ole-Fredrik Morken, EVP Supply Chain, received 5,184 RSUs and 7,777 performance
shares. Following the grant, Ole-Fredrik has 206,507 shares, 15,681 RSUs and
15,845 performance shares in the company. 

Ola Boström, SVP Quality, received 3,525 RSUs and 5,288 performance shares in
the company. Following the grant, Ola has 5,927 shares, 10,119 RSUs and 11,382
performance shares in the company. 

Kjetil Holstad, EVP Corporate Strategy & BU PMIC, received 5,184 RSUs and 7,777
performance shares. Following the grant, Kjetil has 17,479 shares, 16,525 RSUs
and 16,738 performance shares in the company. 

Ståle Ytterdal, SVP Investor Relations, received 2,653 RSUs and 3,979
performance shares. Following the grant, Ståle has 142,665 shares, 10,853 RSUs
and 10,092 performance shares in the company. 

Sonja Kusmin, SVP People & Culture, received 4,072 RSUs and 6,109 performance
shares. Following the grant, Sonja has 600 shares, 9,038 RSUs and 6,749
performance shares in the company.
