Oslo (Norway), June 29th 2020 – Lavo.tv AS, a Norwegian-based specialist in television streaming and consumer interaction (‘Lavo’), announces that it entered into an amendment to its loan agreement (‘the Amendment’) with its historical backer and longtime shareholder European High Growth Opportunities SF (‘EHGO’). The terms of such amendment are set out below. Amendment: On June 10th 2020, Lavo entered into a completely new loan agreement with EHGO for NOK 12.5 million, disbursable in one tranche and bearing a fixed interest rate of 5 percent per year (‘the Loan’). Lavo and EHGO have executed on June 29th 2020 an Amendment to the Loan whereby the principal amount under the loan shall be reduced to NOK 8,750,000, and the remaining NOK 3,750,000 (the ‘Equity Amount’) shall be contributed by EHGO as a contribution of equity by way of a share capital increase in Lavo through a private placements towards EHGO. The shares issued in the share capital increase shall carry shareholders' right from the date of subscription, which shall be June 29th 2020. The registration of the share capital increase shall occur as soon as practically possible following subscription. The subscription price in the share capital increase shall be NOK 0.05 per share (the same as the conversion price under the Loan). The total amount of fees to be paid by Lavo shall remain unchanged by the Amendment (a 5% fee shall be paid on the Equity Amount, and a 5% fee shall be paid on the reduced Loan amount).
