Refence is made to the public notice from Magnora ASA ("Magnora") on 16 June
2025. Magnora has received an unsolicited bid from a small group of existing
shareholders in Magnora for its full shareholding in Hermana Holding ASA
("Hermana"), totalling 4,025,621 shares. The bid was submitted through
Skandinaviska Enskilda Banken AS Publ. ("SEB"), and the bid price was NOK 10 per
share and accepted by Magnora. To facilitate equal treatment of its
shareholders, Magnora agreed with the Bidding Investors to launch an open
bookbuilding process for a part of the offering at a fixed price of NOK 10 per
share. All shareholders in Magnora as shown in the VPS register at 08:00 on 16
June were invited to buy shares in the offering.
Several primary insiders of Hermana also being shareholders in Magnora have
participated and thus on 16 June 2025 purchased shares, all at price NOK 10 per
share.
Primary insiders, their position in Hermana, respective acquisition of Hermana
shares and resulting ownership are as follows:
Erik Sneve, Chair of the Board, has purchased 150,000 shares. Following this, he
controls 317,692 shares in Hermana Holding ASA, which equals 2.37 percent of the
issued shares and votes in the company.
Torstein Sanness, Board member, has purchased 20,000 shares. Following this, he
controls 109,920 shares in Hermana Holding ASA, which equals 0.82 percent of the
issued shares and votes in the company.
Hilde Ådland, Board member, has purchased 20,000 shares. Following this, she
controls 25,572 shares in Hermana Holding ASA, which equals 0.19 percent of the
issued shares and votes in the company.
Stein Bjørnstad, CEO, has purchased 10,000 shares. Following this, he controls
29,286 shares in Hermana Holding ASA, which equals 0.22 percent of the issued
shares and votes in the company.
Bård Olsen, CFO, has purchased 15,000 shares. Following this, he controls 42,714
shares in Hermana Holding ASA, which equals 0.32 percent of the issued shares
and votes in the company.
Morten Strømgren, SVP, has purchased 10,000 shares. Following this, he controls
18,000 shares in Hermana Holding ASA, which equals 0.13 percent of the issued
shares and votes in the company.
