18 March 2025: Reference is made to the stock exchange announcement made by
Endúr ASA ("Endúr" or the "Company") on 10 February 2025 regarding the Company's
entry into of agreements with Totalbetong Gruppen AS and certain minority
sellers (the "Sellers") for the acquisitions of 100% of the shares in Total
Betong AS, Igang Totalentreprenør AS, and Habto Holding AS, including 100% of
the shares in HAB Construction AS and between 51% and 100% of the shares in
ProPoint Survey AS (jointly, the "Acquisitions"). Reference is further made to
the stock exchange announcement on 4 March 2025 regarding the resolution by the
Company's extraordinary general meeting to authorise the board of directors to
increase Endúr's share capital in connection with completion of the
Acquisitions, and receipt of the required approval from the Norwegian
Competition Authority to complete the Acquisitions.

Endúr is pleased to announce that the Acquisitions have today been successfully
completed, including the acquisition of 100% of the shares in ProPoint Survey
AS. At completion, the board of directors of Endúr has resolved to issue a total
of 7,333,333 new shares in the Company to the Sellers at a subscription price of
NOK 75.00 per share (the "Consideration Shares"), as partly settlement of the
consideration payable by Endúr for the Acquisitions. The Consideration Shares
will be subject to lock-up, with 1/3 of the Consideration Shares being released
after 12, 24, and 36 months, respectively, from the date of completion of the
Acquisitions. 

Upon registration of the share capital increase pertaining to the issuance of
the Consideration Shares, Endúr's share capital will be NOK 25,156,330, divided
into 50,312,660 shares, each with a nominal value of NOK 0.50

The Consideration Shares will be issued on a separate temporary ISIN (NO
0013503722) pending approval by the Financial Supervisory Authority of Norway
(Nw.: Finanstilsynet) and publication of a listing prospectus in accordance with
the EU Prospectus Regulation (2017/1129) on prospectuses for securities and
ancillary regulations, as amended, and as implemented in Norway in accordance
with section 7-1 of the Norwegian Securities Trading Act of 29 June 2007 no. 75.
Following publication of the listing prospectus, expected to take place in Q2
2025, the Consideration Shares will be transferred to Endúr's ordinary listed
ISIN (NO 0012555459) and admitted to trading on Euronext Oslo Børs.
