Lysaker, 29 April 2025: Reference is made to the stock exchange announcements
made by Endúr ASA (the "Company" or "Endúr") on 10 February 2025, 11 February
2025, 4 March 2025, and 18 March 2025, regarding the Company's acquisitions of
100% of the shares in Total Betong AS, Igang Totalentreprenør AS, and Habto
Holding AS, including 100% of the shares in HAB Construction AS and ProPoint
Survey AS (jointly, the "Acquired Companies") from Totalbetong Gruppen AS and
certain minority sellers (jointly, the "Sellers").

As part of the consideration for the shares in the Acquired Companies, the
Sellers received a total of 7,333,333 new shares in Endúr (the "Consideration
Shares"), representing approximately 17.06% of the shares and votes in Endúr at
the time of issuance. The Consideration Shares were issued on 20 March 2025 on a
temporary ISIN (NO 0013503722), pending approval by the Financial Supervisory
Authority of Norway (Nw.: Finanstilsynet) and publication of a listing
prospectus in accordance with the EU Prospectus Regulation (2017/1129) on
prospectuses for securities and ancillary regulations, as amended, and as
implemented in Norway in accordance with section 7-1 of the Norwegian Securities
Trading Act of 29 June 2007 no. 75 (the "Prospectus"). 

The Financial Supervisory Authority of Norway (Nw. Finanstilsynet) has today, on
29 April 2025, approved the Prospectus. The Prospectus will be made available on
Endúr's website at https://endur.no/investor relations/financial-reports/. 

It is expected that the Consideration Shares will commence trading on the Oslo
Stock Exchange on or about 30 April 2025, following the transfer of the
Consideration Shares from the temporary ISIN NO 0013503722 to the listed ISIN NO
0012555459 after the publication of the Prospectus.
