Carbon Transition ASA (the "Company") hereby launches an offer to all
shareholders in the Company to buy back up to 10,000,000 shares in the Company
at a price of NOK 1.15 per share. The Company reserves the right to buy back a
smaller number of shares than the maximum number set out above or to not buy
back any shares at all.

The acceptance period commences immediately and will close at 18:30 (CET) on 8
March 2023 at the latest. The Company reserves the right to close the acceptance
period earlier and on short notice. 

Shareholders who wish to sell their shares can call Pareto Securities AS on +47
22 87 87 50.

In the event that the total number of received acceptances exceeds 10,000,000
shares, the Company will determine criteria for the allocation of the
acceptances in accordance with the best interest of the Company and the equal
treatment of the shareholders.

Allocation and pricing will take place before 09:00 (CET) on 9 March 2023. The
trade date will be 9 March 2023 and settlement will take place on 13 March 2023.

Settlement is for each selling shareholder conditional on such selling
shareholder being or becoming registered as a customer of Pareto Securities AS.
