Reference is made to the offer document dated 22 December 2023 (the "Offer
Document") for the voluntary offer for all issued and outstanding ordinary class
A shares (the "Shares") in Adevinta ASA ("Adevinta" or the "Company") (such
offer, the "Offer") by Aurelia Bidco Norway AS (the "Offeror").
The Offeror is pleased to announce that the Offer has received regulatory
clearances under the merger control regimes of Brazil (Administrative Council
for Economic Defence - CADE), China (State Administration for Market Regulation
- SAMR) and Turkey (Turkish Competition Authority - TCA), and the foreign direct
investment regime in Belgium (Interfederal Screening Commission - ISC). The
Closing Condition (as defined in the Offer Document) related to regulatory
approvals, as set out in section 3.3 (Closing Conditions) of the Offer Document
remain subject to the receipt or waiver of the remaining regulatory approvals
required, as set out in section 3.8 (Regulatory Approvals).
Further updates on regulatory clearances related to other jurisdictions will be
made if and when appropriate.
The Offeror currently anticipates that the regulatory approvals Closing
Condition will be satisfied in the second quarter of 2024.
Shareholders that want to accept the Offer must fill out and return the
acceptance form (and appendices as applicable) which is included in the Offer
Document, by 16:30 hours (CET) on 24 January 2024 (subject to any extensions of
the offer period) in accordance with the procedures and requirements set out in
the Offer Document. Shareholders that want to accept the Offer for one of the
two alternatives comprising depository receipts ("Depository Receipts") must in
addition fill out and return the power of attorney which is included in the
Offer Document to the receiving agent DNB Bank ASA (the "Receiving Agent") for
the execution of the subscription and issuance agreement for the Depository
Receipts, to be received by the Receiving Agent no later than on the sixth
business day prior to settlement of the Offer.
The complete terms and conditions of the Offer, including procedures for
accepting the Offer, are set out in the Offer Document. The Offer may only be
accepted on the basis of, and by following the procedures in, the Offer
Document.
The Offer Document (together with the acceptance form, the power of attorney
required to accept the Offer for Depository Receipts and an appurtenant guide
for such acceptance) is, subject to regulatory restrictions in certain
jurisdictions, available at the following webpage: www.abgsc.com.
Subject to regulatory restrictions in certain jurisdictions, the Offer Document
may also be obtained free of charge during ordinary business hours at the
offices of the financial adviser ABG Sundal Collier ASA, Ruseløkkveien 26, 0251
