COPENHAGEN, September 8, 2023, 5th Planet Games A/S (OAX: 5PG)
Reference is made to the announcement on 11 November 2021 and the announcement
on 7 September 2023. Two capital increases in 5th Planet Games have been
registered with the Danish Business authority.
Sagafilm
Pursuant to the board of directors' authorization set out in section 2.7 of the
articles of association and as part of the Co-Investment Deal in Sagafilm ehf,
5th Planet games has issued 9,537,655 shares in exchange for a contribution in
kind of nominally ISK 4,800,000 shares in Sagafilm ehf, valued at USD 1,600,000.
The capital increase has been registered with the Danish Business Authority.
Skybound
As part of the investment from Skybound Game Studios, Inc. ("Skybound") and as a
result of Skybound's exercise of warrants, the fourth tranche of shares
(50,581,452 shares) has now been issued to Skybound at a price of NOK 0.60968
per share of nominally DKK 0.05 each.
As a result of the capital increase, 5th Planet Games has received approximately
NOK 30,838,500 in proceeds.
The capital increase has been registered with the Danish Business Authority.
New share capital
The total nominal value of 5th Planet Games' share capital after the two above
mentioned capital increase is DKK 13,403,930.00 divided into a total of
268,078,600 shares, each with a nominal value of DKK 0.05.
Following settlement of the share issue, Skybound will hold 56.62% of the
capital and votes in 5th Planet Games A/S.
The new shares are ordinary shares without any special rights and are freely
transferable negotiable instruments. The new shares give rights to dividends and
other rights as of the date of registration of the capital increase with the
Danish Business Authority.
