At the extraordinary general meeting on February 20, 2024, it was decided to introduce the incentive program LTIP 2024 for personnel in Sweden within SyntheticMR AB (publ), as well as the possibility to subscribe to customary warrants of series TO 2. Furthermore, it was decided on TO 3 involving an opportunity for an employee in the US to subscribe to warrants of series TO 3.
The subscription price for subscribing to TO 2 has been set at 6.34 SEK per warrant. Set price for use of each TO 2 after three years amounts to SEK 28.80 per share. The subscription price for TO 2 has been determined through a calculated market value for the warrants using the Black & Scholes model. The price for the use of TO 2 after three years is based on a subscription price when the warrants are exercised of 110 percent of the average volume-weighted price during the period February 21, 2024 through March 5, 2024.
TO 3 is issued free of charge. The market value for TO 3 has been set at SEK 4.22 per warrant. Set price for use of each TO 3 after three years amounts to SEK 36.60 per share. The price for using TO 3 after three years is based on a subscription price when the warrants are exercised of 140 percent of the average volume-weighted price during the period February 21, 2024 through March 5, 2024. The market value has been determined using the Black & Scholes model.
