Scandinavian Astor Group AB (publ) ("Astor Group" eller "Bolaget") (`Astor Group' or the "Company") and its wholly owned subsidiary Scandinavian Astor Technologies AB (`Astor Technologies') have today decided to implement a merger between the companies and adopted a merger plan. Upon completion of the merger, Astor Technologies will become part of Astor Group and cease to be an independent company.
"We continue to streamline our corporate structure to create clarity and improved cost efficiency. This merger is a natural step in our long-term strategy", says Mattias Hjorth, CEO of Scandinavian Astor Group.
The merger has no impact on the daily operations but is part of the work to reduce administration and further streamline the group's structure. Astor Technologies currently owns the wholly owned subsidiaries Marstrom Composite AB, Oscilion Naval System AB and Oscilion Teknik AB, which after the merger will become wholly owned subsidiaries of Scandinavian Astor Group AB.
The merger will be filed with the Swedish Inspectorate for Strategic Products (ISP) in accordance with the Foreign Direct Investment Act and, if shareholders who together own at least five per cent of Astor Group so request, be submitted to a general meeting of Astor Group. Shareholders in Astor Group who wish the merger plan to be submitted to a general meeting must do so by contacting ir@astorgroup.se and stating their name, the number of shares owned and an express request that the merger plan be submitted to a general meeting no later than two weeks after the merger plan has been announced in the Swedish Gazette by the Swedish Companies Registration Office.
