MapsPeople A/S ("MapsPeople") announces exercise of warrants and share capital increase
MapsPeople has on 26 April 2021 issued a number of warrants as stated in article 4.8 of the company's articles of association.
MapsPeople has received an exercise notice from warrant holder, Rasmus Steenberg Andersen, with the instruction to exercise 707,600 warrants pursuant to the terms in article 4.8 and appendix 4.8 of the articles of association. Each warrant entitles the warrant holder to subscribe for one share of DKK 0.02 at a price of DKK 0.02 per share, and the total proceeds from the warrant exercise amounts to DKK 14,152.
As a result of the warrant exercise, the board of the directors has resolved to increase the share capital of MapsPeople by a nominal amount of DKK 14,152 by the issuance of 707,600 new shares of DKK 0.02 each. Following registration of the new shares with the Danish Business Authority, the share capital of MapsPeople will be increased from a nominal amount of DKK 1,566,981.08 to a nominal amount of DKK 1,581,133.08 divided into 79,056,654 shares of DKK 0.02 each.
The new shares will be admitted to trading and listed on Nasdaq First North Growth Market upon registration of the capital increase with the Danish Business Authority. The new shares are issued without pre-emptive rights for MapsPeople's existing shareholders, and no general restrictions apply in the pre-emptive rights of the new shares in subsequent capital increases. The new shares are negotiable instruments and are registered in the holder's name and recorded in the company's shareholders register.
Pursuant to the above, the board of directors has carried out the necessary amendments to the articles of association as a result of the warrant exercise and subsequent share capital increase. Updated articles of association will be published on the company's website.
