LONDON, 31[st] December 2023 - Flexion (Nasdaq: FLEXM), the games marketing company, today announces that as previously disclosed in the Company's quarterly-report for the period ending 30 September 2023 (the "Q3 2023 Report"), the Company's audit of the financial statements of the Company for the year ended 31 December 2022 (the "2022 Accounts") is still ongoing.
In accordance with the Companies Act 2006 of England and Wales (the "Act"), the statutory deadline for filing the 2022 Accounts with the Registrar of Companies in England and laying the Accounts before members of the Company was 31 December 2023. Accordingly, as of that date, the Company will technically be in breach of sections 437 and 442 of the Act.
The Company is in contact with the Registrar and has been granted until 29th of January 2024 after which the Registrar may give the company notice of breach.
The Company is working on filing the 2022 Accounts as soon as possible and will provide further updates in due course.
