Audientes A/S ("Audientes" or the "Company"), CVR 36047631, announces that convertible loan lender Selandia Alpha Invest A/S ("Selandia") have exercised their rights to convert part of their loan receivables into shares in the Company.
The converted loan amounts to DKK 0.5 million, increasing the nominal share capital by
DKK 355,350.36. This conversion strengthens Audientes' balance sheet by reducing outstanding debt and increasing shareholders equity.
The conversion rate is DKK 0.0141 per share of nominal DKK 0.01, based on the VWAP of the Audientes share on Spotlight Stock Market over the 10 trading days prior to 30 April 2025.
As a result, the number of shares increases by 35,535,036, bringing the total number of shares to 613,455,757.
Immediately after the loan conversion and share issuance, Selandia will hold 35,535,036 shares, corresponding to approximately 5.8% of the total number of shares. The remaining convertible loans from Selandia and two other convertible loan lenders amount to TDKK 826, having increased the overall loan amount with TDKK 50.
The fees associated with the loan conversion are estimated at TDKK 6 (exclusive of VAT) and will be covered by Audientes A/S.
