The Nomination Committee of AQ Group AB has informed the company to propose existing Board director Åsa Landén Ericsson as new Chairman of the Board and Roland Kasper as new Board director at the Annual General Meeting on April 23, 2026. The Board directors Gunilla Spongh, Lars Wrebo, Ulf Gundemark and Claes Mellgren are proposed for re-election.

Board director Per Olof Andersson has informed the Nomination Committee that he will not stand for re-election.

The Nomination Committee proposes that the 2026 Annual General Meeting elects six ordinary Board directors without deputies, consisting of the following:

Åsa Landén Ericsson (re-election), Chairman
Claes Mellgren (re-election)
Gunilla Spongh (re-election)
Lars Wrebo (re-election)
Ulf Gundemark (re-election)
Roland Kasper (new election)                                  

Åsa Landén Ericsson was born 1965 and holds a M.Sc. in Industrial Engineering and Management from Chalmers University of Technology and an MBA from INSEAD. She has been a Board director of AQ Group since the 2025 Annual General Meeting and has been President and CEO of several companies in the IT and Tech industry, most recently 8 years at CAG Group AB. She has also been a Board director of Acando AB and Rejlers AB. Åsa has broad board experience as well as solid experience of the listed environment and in-depth knowledge of IT and Tech and is currently also a Board director of Formpipe Software AB.

Roland Kasper was born 1969 and is Dipl. Eng. Energy and Heating Technology Engineering from the University of Applied Sciences, Giessen, Germany.  He comes from a position as CEO for 10 years at Systemair, which is a global supplier of products and systems for ventilation, heating and cooling, and has about 90 subsidiaries globally. Previously he has worked as product manager at FläktWoods Group and ABB Ventilation Products GmbH as well as sales manager for air-terminal units and cooling baffles at ABB Ventilation Products AB.  Roland has a long and solid experience of the listed environment and to drive growth in a decentralized global organization as well as deep knowledge within technology, production and market.

We are convinced that Åsa, with her background in AQ and experience will contribute with a chairmanship that is right for the company. The Nomination Committee would also like to highlight the important contributions that Clas Mellgren has made during his time as Chairman of the Board of Directors of the company."

Per Olof Andersson, founder and Board director, comments: "I am now ending my work on the Board, but my long-term ownership and commitment to AQ remains and will be represented by Claes Mellgren on the Board going forward".

The Nomination Committee's complete proposals are presented in the notice of AQ Group's Annual General Meeting to be held on April 23, 2026.

The Nomination Committee consists of Björn Henriksson (Nordea Fonder), Stephan Müchler (Swedbank Robur Fonder), Per Olof Andersson (own holdings) och Claes Mellgren (own holdings) with Björn Henriksson as Chairman.
