AHLSTROM-MUNKSJÖ OYJ STOCK EXCHANGE RELEASE March 12, 2021 at 15:50 EET
This notice is made in respect of the EUR 250 million senior unsecured 1.875 percent notes due June 9, 2022 (ISIN: FI4000261235) (the "Notes"). The Notes are listed on the official list of Nasdaq Helsinki Ltd.
Ahlstrom-Munksjö Oyj ("Ahlstrom-Munksjö") announced on February 5, 2021 that a "Change of Control Event" pursuant to the terms and conditions of the Notes had occurred, as a result of which noteholders could require prepayment of their Notes as provided in the terms and conditions of the Notes. The deadline for noteholders to require prepayment of their Notes is March 19, 2021. On February 19, 2021, Ahlstrom-Munksjö announced its intent to exercise its optional redemption right in respect of the Notes in accordance with Condition 8 (Optional Redemption (call option)) of the terms and conditions of the Notes to the extent the mandatory prepayment right in respect of the Notes related to the Change of Control Event is not exercised by the relevant noteholders.
Ahlstrom-Munksjö announces irrevocably that on April 12, 2021, being the date falling thirty (30) days after the publication of this notice (the "Optional Redemption Date"), Ahlstrom-Munksjö will redeem all of the aggregate principal amount of the Notes issued. On the Optional Redemption Date, Ahlstrom-Munksjö will redeem all of the Notes (including any Notes in respect of which the mandatory prepayment right related to the Change of Control Event has been exercised) at a Make-Whole Redemption Amount (as defined in Condition 8 of the terms and conditions of the Notes) together with accrued but unpaid interest up to (but excluding) the Optional Redemption Date in accordance with the terms and conditions of the Notes.
