Safestate Group AB (publ): Outcome of exercise of warrants of series 2023/2026:1 and 2023/2026:2 under the company's incentive programmes
Safestate Group AB (publ) ("Safestate" or the "Company") hereby announces the outcome of the exercise of warrants of series 2023/2026:1 and 2023/2026:2, which were issued under the 2023/2026 employee stock option program (series 2023/2026:1 being issued as a hedging arrangement for the employee stock option program) and the 2023/2026 warrant program adopted by the annual general meeting on 22 June 2023.
A total of 825,386 warrants were exercised to subscribe for the same number of shares, of which 227,280 were series 2023/2026:1 warrants (approximately 27.5 percent of the outstanding warrants of that series) and 598,106 were series 2023/2026:2 warrants (approximately 89.3 percent of the outstanding warrants of that series), corresponding in aggregate to approximately 55.20 percent of the number of outstanding warrants. Through the exercise of the warrants, the Company has received approximately SEK 3.2 million before issuance costs.
The exercise period for the series 2023/2026:1 and 2023/2026:2 warrants ended on 30 September 2026. Warrants that were not exercised during the exercise period have lapsed. The subscription price per share upon exercise of the warrants was SEK 3.86 for both series 2023/2026:1 and series 2023/2026:2, corresponding to 150 percent of the volume-weighted average price of the Company's share on NGM Growth Market during the period from 26 June 2023 up to and including 10 July 2023. On 12 October 2026, the board of directors of Safestate resolved to allocate the shares subscribed for pursuant to the warrants in accordance with the terms of the warrants.
"Our employees have put around SEK 3.2 million of their own money into Safestate. The price was fixed in 2023 at 50 percent above the average share price at the time, and over 90 percent of the warrants held by eligible participants in our employee warrant programme were exercised. I am glad that so many colleagues chose to become shareholders. The people building Safestate now own more of it," says Daan Donders, CEO of Safestate Group.
