Frontwalker AB (publ) ("Frontwalker") announced on 15 December 2025 that the company had entered into a share purchase agreement with the shareholders of E-Consulate (PVT) Ltd ("E-Consulate") regarding the acquisition of 100 per cent of the shares in Goldcup 38726 AB, reg. no. 559561-6078 (the "Company"), which in turn will own all shares in E-Consulate (the "Acquisition"). In the press release on 15 December 2025, it was stated that the Acquisition was expected to be completed by February 2026 at the latest. Frontwalker now announces that the timeline for the completion of the Acquisition has been changed and that the Acquisition is expected to be completed by 16 March 2026 at the latest. Frontwalker further announces that the Swedish Inspectorate of Strategic Products has approved E-Consulate's investment in Frontwalker under the Swedish Screening of Foreign Direct Investments Act (2023:560).

Frontwalker hereby provides an update regarding the timeline for the completion of the Acquisition.

As announced on 15 December 2025, Frontwalker has entered into a binding share purchase agreement with the shareholders of E-Consulate regarding the Acquisition. According to the communicated timeline, the Acquisition was expected to be completed by February 2026 at the latest. Frontwalker now announces that the timeline for the completion is changed so that the Acquisition is expected to be completed by 16 March 2026 at the latest. The change in the timeline is attributable to the fact that certain administrative measures that constitute conditions for the completion of the Acquisition, including the establishment of bank accounts, have taken longer than expected.

Frontwalker further announces that the Swedish Inspectorate of Strategic Products has approved E-Consulate's investment in Frontwalker under the Swedish Screening of Foreign Direct Investments Act (2023:560).

Frontwalker continues to view the Acquisition very positively and the opportunities that the Acquisition of E-Consulate represents for Frontwalker's continued growth and development.
