Valuno requests and receives disbursement of the first tranche under the convertible financing with Helena
Valuno Group AB (publ) ("Valuno" or the "Company") has today submitted a drawdown notice to Helena Global Investment Opportunities 1 Ltd. ("Helena") in respect of the first tranche under the convertible financing agreement of up to SEK 51,700,000 entered into between the Company and Helena on 10 July 2026, and has on the same date resolved on and completed the tranche.
The tranche comprises interest-free convertibles with a nominal value of SEK 4,692,500, divided into 9,385 convertibles at SEK 500 each, of which 2,585 convertibles with a nominal value of SEK 1,292,500 constitute so-called Commitment Fee Bonds (the first instalment of the commitment fee). The convertibles are attached with 6,263,157 warrants issued free of charge, corresponding to 35 per cent of the tranche's nominal amount.
The convertibles carry no interest and mature twelve months after registration with the Swedish Companies Registration Office (Bolagsverket). The conversion price is the higher of 93 per cent of the lowest daily volume-weighted average price (VWAP) during the ten trading days preceding a conversion and SEK 0.03 per share (floor for the first tranche). The subscription price for the warrants is SEK 0.19 per share, corresponding to 150 per cent of VWAP during the five trading days preceding the drawdown, and they have a term of 60 months.
The subscription proceeds have been settled partly through set-off (a subscription discount of 5 per cent, the Investor's legal costs, and the Commitment Fee Bonds) and partly in cash. Following the set-offs, the Company will receive approximately SEK 3,037,000 in cash. The issue of convertibles and warrants has been resolved by the Board of Directors pursuant to authorisation, and the convertibles and warrants will be registered with Bolagsverket. The Company intends to use the issue proceeds for working capital.
