The Nomination Committee of Prisma Properties AB has been informed that Günther Mårder, who has been proposed for election as a member of the Board of Directors at the company’s Annual General Meeting on 29 April 2026, has today been remained in custody on suspicion of having committed aggravated insider trading.

In light of the above, the Nomination Committee has convened an extraordinary meeting and decided to withdraw the proposal to nominate Günther Mårder as a member of the Board of Directors of the Company.

The Nomination Committee further proposes that the Board of Directors of Prisma Properties shall consist of five (5) members instead of six (6).

The decision of the Nomination Committee does not constitute any position regarding the question of potential guilt.

The Nomination Committee represents the Company’s shareholders and acts independently in matters relating to the composition of the Board of Directors.

The Company will not comment further on this matter.
