Correction: Íslandsbanki hf.: Share repurchase and reduction of share capital authorised by the Financial Supervisory Authority of the Central Bank of Iceland

Íslandsbanki hf. hereby corrects the announcement regarding the authorisation for the repurchase of own shares and reduction of share capital, published on 21 September 2026. The announcement stated that, as at the close of business on 18 September 2026, the Bank held 105,013,466 own shares, representing 5.99% of issued shares in the Bank. As at the close of business on 18 September 2026, the correct number of own shares held by the Bank was 98,616,256 own shares, representing 5.63% of issued shares in the Bank. The corrected announcement is set out below.

On 18 September 2026 the Financial Supervisory Authority of the Central Bank of Iceland (FSA) granted Íslandsbanki hf. (the Bank) an authorisation to buy back own shares of an amount up to ISK 10 billion in market value. The authorisation is subject to the condition that if the Bank chooses to pay dividend in excess of its dividend policy, the total amount of the authorisation shall be reduced by the amount of such dividend payment. The Bank is authorised to commence the share repurchase as from the date of authorisation.

At the close of business on 18 September 2026, the Bank held 98,616,256 own shares, representing 5.63% of issued shares in the Bank. 

The Bank will use the authorisation to set up a formal share repurchase program or for the purpose of offering shareholders generally to sell their shares to the Bank e.g., through auction where equal treatment of shareholders is ensured. The Bank will announce the timing and execution of the repurchase of own shares under the aforementioned authorisation once a decision to that effect has been made. 

In addition, the FSA authorised the Bank to reduce its share capital by an amount corresponding to the own shares already purchased pursuant to the authorisation granted by the FSA to the Bank for the purchase of own shares on 4 February 2026 and in respect of the shares to be purchased pursuant to the authorisation granted for the purchase of own shares on 18 September 2026. 

The aforementioned authorisations are valid for 12 months from the date of authorisation.
