Proposed resolutions

Opening of the meeting and election of chairman of the meeting (Item 1)

The board of directors proposes that Marcus Nivinger, attorney-at-law, at Setterwalls Advokatbyrå, is elected chairman of the meeting or, in his absence, the person appointed by the board of directors instead.

Resolution on whether the Company shall go into liquidation or continue its operations (Item 6)

On 6 November 2026, the board of directors prepared and signed a balance sheet for liquidation purposes (Sw. kontrollbalansräkning) in accordance with Chapter 25, sections 13 and 14 of the Swedish Companies Act (2005:551), with 31 August 2026 as the balance sheet date. The balance sheet for liquidation purposes shows that the Company's shareholders' equity amounts to SEK 880,736,557, compared with a registered share capital of SEK 3,638,026.86, and that the shareholders' equity is thus not less than one-half of the registered share capital. The balance sheet for liquidation purposes has been reviewed by the Company's auditor KPMG AB, which has, however, refrained from expressing an opinion on whether the balance sheet for liquidation purposes complies with the requirements of the Swedish Companies Act. As grounds for refraining from expressing an opinion, the auditor has referred to significant uncertainty as to whether the Company's financing can be resolved and, consequently, whether the going concern principle can be applied in the preparation of the balance sheet for liquidation purposes, and to the fact that sufficient and appropriate audit evidence could not be obtained to ensure that the adjustment relating to financial fixed assets (revaluations) included in the balance sheet for liquidation purposes is in accordance with generally accepted accounting principles. The balance sheet for liquidation purposes and the auditor's report thereon will be presented at the meeting.

As the auditor has refrained from expressing an opinion on the balance sheet for liquidation purposes, the board of directors has, as a precautionary measure, resolved to convene a general meeting (initial meeting for liquidation purposes) for the meeting to consider whether the Company shall go into liquidation or continue its operations. The board of directors submits the following proposals.

The board of directors’ primary proposal – continued operations

The board of directors proposes, as a first alternative, that the Company shall continue its operations and not enter into liquidation. The balance sheet for liquidation purposes shows that the Company’s shareholders’ equity exceeds the registered share capital, and the board of directors assesses that there is a realistic path to continued operations. The Company has identified short-term financing and liquidity inflows, as well as measures in the form of strict payment prioritisation and potential cost reductions. However, as these measures have not yet been secured, there are material uncertainties regarding the Company’s ability to finance its ongoing operations.

It is the board of directors’ view that the best alternative for the Company and its shareholders is that the general meeting resolves on the continued operation of the Company in order to safeguard the Company’s interests in the best possible manner. A resolution on continued operations entails that a general meeting shall be convened within eight months from this initial meeting for insolvency purposes in order to re-examine whether the Company shall enter into liquidation (second meeting for insolvency purposes). Prior to the second meeting for insolvency purposes, the board of directors shall prepare a new balance sheet for liquidation purposes and have it reviewed by the Company’s auditor. If such balance sheet for liquidation purposes does not show that the equity has been restored and amounts to at least the registered share capital, the Company is obligated to enter into liquidation.

The board of directors’ secondary proposal – liquidation

Under the Swedish Companies Act, the board of directors is also obliged to present a proposed resolution regarding liquidation to the meeting. Provided that the meeting does not resolve that the Company shall continue its operations as set out above, the board of directors therefore secondarily proposes that the meeting resolves that the Company shall go into liquidation. The reason for the board of directors’ secondary proposal is that the auditor has refrained from expressing an opinion on the balance sheet for liquidation purposes, and it therefore cannot be established with certainty that the Company’s shareholders’ equity amounts to at least one-half of the registered share capital.

Should the meeting resolve that the Company shall go into liquidation, the following shall apply:

(a) the resolution shall enter into force on the date on which the Swedish Companies Registration Office has appointed a liquidator;

(b) the board of directors’ preliminary assessment is that the distribution of assets (Sw. skifte) is expected to take place within twelve months after the Swedish Companies Registration Office’s decision to appoint a liquidator;

(c) as a matter of prudence, no distribution proceeds should be expected; and

(d) the board of directors has no proposal for a liquidator.

Number of shares and votes in the Company

At the time of issuance of this notice, the total number of outstanding shares and votes in the Company amounts to 363,802,686. The Company holds no shares in treasury.

Shareholders’ right to request information

The board of directors and the managing director shall, if any shareholder so requests and the board of directors considers that it can be done without significant harm to the Company, provide information at the meeting regarding circumstances that may affect the assessment of an item on the agenda (Chapter 7, sections 32 and 57 of the Swedish Companies Act). The duty to provide information also applies to the Company’s relationship with other group companies and to such circumstances regarding subsidiaries as referred to in the preceding sentence.

Documents

The balance sheet for liquidation purposes, the auditor’s report thereon and other documents that shall be made available pursuant to the Swedish Companies Act will be made available at the Company’s office no later than two (2) weeks before the meeting and will be sent free of charge to shareholders who so request and state their postal address. From that time at the latest, the documents will also be available on the Company’s website www.hexicongroup.com. All of the above documents will also be presented at the meeting.
