On April 22nd, 2020 The Annual General Meeting of Nordic Semiconductor ASA approved the issue of up to 1 074 000 Restricted Stock Units (RSUs) and Performance Shares, equivalent to approximately 0.6% of the company’s outstanding share capital. In total in this release, 754 224 RSUs and Performance Shares have been granted, equivalent to 0.4% of the company’s outstanding share capital. As basis for the calculation of RSUs and Performance Shares, a weighted average share price the five trading days after the Annual General Meeting of NOK 58.4 has been used. All Employee Plan Today, on April 29th, 2020 the company has granted 637 810 RSUs to employees under the all employee program. For employees, the RSUs will vest after two years and the shares will be delivered to the employee at the vesting date against payment of the par value of the share (subject to the employee's continued employment with the Company). The shares may be newly issued shares or existing treasury shares. Primary insiders in Nordic Semiconductor have received the following RSUs, according to the terms described above: Employee Board member Jon Helge Nistad has been granted 600 RSUs. Following this transaction, he holds 600 RSUs and 12 782 options in the Company. Employee Board member Susheel Raj Nuguru has been granted 600 RSUs. Following this transaction, he holds 600 RSUs and 2 563 options in the Company. Employee Board member Morten Dammen has been granted 1 150 RSUs. Following this transaction, he holds 1 150 RSUs and 18 227 options in the Company. Executive Management Plan With reference to the Annual general meeting held on April 22nd, 2020, members of the Executive Management team have today been granted a total of 58 207 RSUs and 58 207 performance shares in the company. The RSUs will vest after three years and the shares will be delivered to the employee at the vesting date against payment of the par value of the share (subject to the employee's continued employment with the Company). The shares may be newly issued shares or existing treasury shares. The performance shares are issued conditional upon the achievement of a certain set of objectives. The performance shares vest and will be delivered at par value upon the completion of the performance period, which is three years. If the executive achieves at least 80% of the set performance targets, 50% of the shares will be granted, whilst on 120% achievement of targets a maximum two times the shares will be granted. As such, if maximum performance is achieved on the performance shares, a total of 116 414 shares will be delivered to the executive management team. If less than 80% performance is achieved, zero shares will be delivered. Details below is based on 100% performance achievement. For further details on the program, please refer to the Executive Compensation Declaration that was sent out in the invitation to the Annual General Meeting. Svenn-Tore Larsen, CEO, received 10 621 RSUs and 10 621 performance shares. Following the grant, Svenn-Tore has 1 905 400 shares, 231 313 share options, 10 621 RSUs and 24 057 performance shares in the company. Pål Elstad, CFO, received 6 345 RSUs and 6 345 performance shares. Following the grant, Pål has 8 846 shares, 153 249 share options, 6 345 RSUs and 12 747 performance shares in the company. Svein-Egil Nielsen, CTO, received 7 172 RSUs and 7 172 performance shares. Following the grant, Svein-Egil has 17 000 shares, 157 752 share options, 7 172 RSUs and 14 794 performance shares in the company. Geir Langeland, Sales Director, received 6 621 RSUs and 6 621 performance shares. Following the grant, Geir has 177 700 shares, 154 375 share options, 6 621 RSUs and 13 328 performance shares in the company. Ole-Fredrik Morken, Supply Chain Director, received 5 241 RSUs and 5 241 performance shares. Following the grant, Ole-Fredrik has 160 000 shares, 149 309 share options, 5 241 RSUs and 10 576 performance shares in the company. Ebbe Rømcke, QA Director, received 4 276 RSU and 4 276 performance shares in the company. Following the grant, Ebbe has 68 900 shares, 80 303 share options, 4 276 RSUs and 8 544 performance shares in the company. Marianne Frydenlund, Legal Director, received 4 000 RSUs and 4 000 performance shares. Following the grant, Marianne has 2 000 shares, 17 946 share options, 4 000 RSUs and 7 506 performance shares in the company. Kjetil Holstad, Director Product Management, received 4 276 RSUs and 4 276 performance shares. Following the grant, Kjetil has 6 604 shares, 35 741 share options, 4 276 RSUs and 8 087 performance shares in the company. Ståle Ytterdal, IR Director, received 4 414 RSUs and 4 414 performance shares. Following the grant, Ståle has 244 000 shares, 64 955 share options, 4 414 RSUs and 9 140 performance shares in the company. Katarina Finneng, HR Director, received 5 241 RSUs and 5 241 performance shares. Following the grant, Katarina has 0 shares, 20 000 share options, 5 241 RSUs and 5 241 performance shares in the company.
