ARRIBATEC ACQUIRES FACIL AS

(Oslo, Norway, 9 November 2020) Arribatec Solutions ASA (Arribatec, OSE: ARR)
today announces the acquisition of 100% of the shares in Facil AS (Facil), a
Solution as a Service (SolaaS) provider to the global hotel industry, as part of
the strategy of creating a leading SolaaS company through organic growth and
accretive acquisitions.

check-in and guest engagement solution for the international hotel industry.
This accretive acquisition strengthens our existing offering for the
digitization of the global hospitality industry, including the rapidly growing
segment for contactless customer engagement. Additionally, Facil has a highly
competent management team that will drive further innovation and the roll-out of
our joint offering Certify and Facil to the global hospitality business, "says

Facil, headquartered in Oslo, has created a leading solution for easy check-in,
check-out, rooms access, and order all of the hotel's services, without needing
to contact the hotel reception. The company is a certified Oracle partner, the
worldŽs largest provider of Property Management Solutions (PMS) to the hotel
industry and will complement the Arribatec Certify housekeeping solution that is
developed together with Wynn & Encore, Las Vegas, USA.

Facil has an annual recurring revenue base of NOK 2.1 million primo November
2020 and a strong sales outlook.   

"Arribatec has entered into a distribution agreement with the Preferred Hotel
Group, with their 850 leading hotels in 85 countries, to become an IT solution
provider to their hotels. By combining Facil and Arribatec Certify we will
strengthen our offering towards an industry being rapidly digitalized with
contact free solutions. The transaction also ticks another box in our strategy
of creating a leading Solution as a Service company through accretive M&A
initiatives and accelerated organic growth, "Stav concludes. 

The transaction will be settled by issuance of 12,423,200 shares in Arribatec
Solutions ASA at a subscription price of NOK 1.50 per share, ex dividend. The
Facil team of 4 employees and founders holding 70,4% of the shares in Facil
prior to the transaction will continue with Arribatec and have agreed to a
lock-up of 18, 30 and 42 months for their shares in Arribatec, in line with the
rest of the key resources in Arribatec.

Arribatec Certify delivers digitally certified cleanliness in line with global
and local regulations and recommendations. In addition, it allows you to also
add specific requirements/processes for cleaning and inspections set out by the
different hotel brands. Securing these cleanliness processes and being able to
document them transparently are bringing confidence back to the travel industry.
When the room has been cleaned and certified, Arribatec Certify sends this
certificate through the PMS system and to Facil, informing the guest that their
room has been certified and ready for check-in. The guest will then be able
through Facil solution to check-in touchless. These integrations are all done
through Facil PMS Integration Platform.
